Adoption of the income statement and balance sheet
The Annual General Meeting resolved to adopt EG7's income statement and balance sheet as well as the consolidated income statement and consolidated balance sheet for the financial year 2021.
Distribution of profit
The Annual General Meeting resolved to treat the result in accordance with the proposal of the Board of Directors in the annual report, meaning that the result is carried forward.
Discharge from liability
The Board och Directors and Managing Director were discharged from liability for the financial year 2021, in accordance with the auditor’s recommendation. It was noted that shareholders representing more than 10 per cent of the total amount of votes in the Company did not vote in favour of discharging the members of the Board of Directors and the Managing Director from liability for the financial year 2021.
Election of the Board of Directors and auditor, and directors' and auditors' fees
The Annual General Meeting resolved that the Board of Directors shall consist of five directors without deputies. It was further resolved that the Company shall have one registered auditing firm as auditor.
Jason Epstein, Alexander Albedj, Gunnar Lind and Marie-Louise Gefwert were re-elected as directors. Shum Singh was elected as a new director of the board. Jason Epstein was elected as chairman of the board of directors.
The registered auditor Öhrlings PricewaterhouseCoopers AB (PwC) was elected as the Company's auditor. PwC has announced that the authorised accountant Niklas Renström will be responsible auditor.
It was resolved that remuneration to members of the Board of Directors, that are not employees in the Company, shall be SEK 250,000 (SEK 250,000) and SEK 600,000 (SEK 600,000) to the chairman of the board provided that the chair is not an employee. Remuneration to the auditor is to be paid according to approved invoice.
It was further resolved that remuneration of SEK 100,000 shall be paid to the chairman and SEK 75,000 to each of the other members of the Audit Committee and that remuneration of SEK 75,000 shall be paid to the chairman and SEK 50,000 to the rest of the Remuneration Committee.
Principles for the nomination committee
The Annual General Meeting resolved to adopt the principles for the nomination committee included in the notice.
Resolution on implementation of an employee stock option program, resolution on implementation of a warrant-based incentive program and resolution on a) an issue of warrants and b) the approval of transfer of warrants
It was resolved not to approve the Board of Director’s proposal on implementation of an employee stock option program and implementation of a warrant-based incentive program. Furthermore, it was resolved not to approve the Board of Directors proposal on a) an issue of warrants and b) the approval of transfer of warrants.
Resolution to authorise the board of directors to resolve on issues of shares, warrants and convertibles
It was resolved not to approve the Board of Director’s proposal to authorise the Board of Directors to resolve on issues of shares, warrants and convertibles.
